Terms of service
These terms cover the hosted Jackdaws subscription — the metered MCP server, its verifiers, its generative agents, and the workflow prompts. The open-source toolkit in the repository is licensed separately and is not covered here.
Effective 12 August 2026
Placeholder · mcw-business-plan · legal entity and governing law
Before launch, replace “Hazeley Consulting” throughout with the registered legal entity and its address, and state the governing law and venue. These pages have been drafted to be accurate about how the service behaves; they still need review by a qualified adviser before they are relied on.
1. Who these terms are between
They are between Hazeley Consulting (“we”) and the person or organisation that subscribes (“you”). Subscribing, or using a credential we issue, means you accept them. If you are agreeing on behalf of an organisation, you confirm you are authorised to do so.
2. What the subscription buys
A subscription entitles you to connect to the hosted Jackdaws MCP server and call its tools and prompts: the deterministic verifiers, the generative agents, and the workflow prompts. Entitlement is checked on every call and is tied to the credential we issue, not to a named individual.
The generative work runs on your model wherever your client supports it — through MCP sampling, or through a generation contract your client executes. Your model provider bills you for that usage directly. We do not resell model capacity, and the subscription price does not include it.
3. Price, billing, and the merchant of record
The subscription is $5.00 per user per month, charged in advance. Polar Software Inc. is our merchant of record. Polar sells the subscription to you, takes payment, handles tax, and issues the invoice or receipt. Their terms apply to the payment itself; ours apply to the service.
We may change the price. A change takes effect at your next renewal and never mid-period, and we will tell you before it applies.
4. Your credential
Provisioning issues one machine-to-machine credential. The secret is shown exactly once, on the page you land on after checkout, and is destroyed as it is delivered — we do not keep a copy and cannot resend it. If you lose it, ask us and we will rotate the credential and issue a new one.
Keep the secret confidential and tell us promptly if you believe it has been exposed. Calls made with your credential are billed and rate limited as yours, so treat it the way you would treat any other production secret.
5. Fair use and rate limits
The service is rate limited per credential to keep it responsive for everyone. Sustained automated load well beyond ordinary interactive use, or sharing one credential across an organisation to avoid per-user pricing, is outside fair use. We will contact you before taking any action on that basis.
Placeholder · mcw-business-plan · numeric fair-use ceiling
State the specific call ceiling and the window it applies over once the business plan fixes them.
6. What you may not do
Do not attempt to bypass the entitlement gate or the metering, probe or attack the service, resell access, or use it to build a directly competing hosted product. Do not send content you do not have the right to send.
7. Availability
We aim for the service to be available and quick, but we do not offer a service level agreement or an uptime guarantee on the self-serve subscription. Maintenance, deploys, and upstream provider incidents can interrupt it. If you need a commitment in writing, that is a consulting engagement — get in touch.
8. Changes to the service
The toolkit is developed continuously, so tools and prompts get added, improved, and occasionally retired. We will not remove a tool you rely on without notice where we can reach you. Nothing here promises that any particular tool exists forever.
9. Ending the subscription
You can cancel at any time from the Polar customer portal. Access runs to the end of the period you have already paid for and then stops; see the refund policy for what happens to money.
We may suspend or end a subscription for non-payment, for a breach of these terms, or where continuing would put the service or other subscribers at risk. Except where the breach makes it unsafe to wait, we will tell you first and give you a chance to put it right.
10. Your content and ours
You keep every right in the files and text you send to the service. We use them only to answer that call. We claim nothing in the output the tools produce for you.
We keep every right in the service, the skills, and the toolkit. The open-source parts stay under their own licence, which these terms do not narrow.
11. No warranty, and the limit on liability
The service is provided as it is. Its verifiers and agents produce advice and findings, not guarantees: they can miss a problem and they can report one that is not there. Decisions you make on their output are yours, and nothing here substitutes for your own review.
To the extent the law allows, our total liability for any claim arising out of the service is limited to the fees you paid us in the twelve months before the claim, and we are not liable for indirect or consequential loss. Nothing here limits liability that cannot lawfully be limited.
12. Changes to these terms
We may update these terms. The effective date at the top changes when we do, and a change that materially reduces what you get takes effect at your next renewal rather than immediately. Continuing to use the service after that means you accept the updated terms.
